27 April 2006 I have a project in the Orlando area, the acquisition and construction of 400 condotels, that will be flagged after 1 year. 160 of these units have been pre-sold. We have a permit from the city of Orlando. All the entitlements and zoning requirements are in place.

What we need is a mezzanine loan or a JV with an investor for about $10M, in return for a fair share of the profits. The cost of the entire project is $62M

Project Finance / Loan Wanted or BG/SBLC Wanted

I am sending you my Golf Course Project (see the attachment) in a hope that we can settle the land asap. I am now developing a Golf Course and Residential (25 lots and its houses) in NZ.

We have lodged two applications for resources consent:

1) 25 residential farm park concept (hearing in April - we are adamant that it will be OK)
2) more than 100 residential Hamlet concept (hearing in May - huge chance)

We are now under unconditional contract for a property (now farm) near Silverdale. (cnr. wainui rd. and windmill rd. - 25 min. by car from Auckland, New Zealand)

Details are;

Purchasing price - 11.5 mil plus GST = $12,930,000
Settlement shall be done 10 days after receipt of resources consent from the Rodney Council.
We have paid $112,500 on 9 Sep. 2005, $135,000 on 30 Sep. 2005, $281,250 on 30 Oct. 2005 up to date. (in total: $528,750)
Therefore, we need to finance $12,401,250 in order to settle the deal.
We have now $250,000 cash ready - the trust who are funding needs to be in 2nd mortgage.
Furthermore, we have spent $880,000 for engineering costs, legal fees etc. And $27,500+$88,000 for Golf Course Design and Intectual Property.

We are in need of equity partner or finance (bridge loan) for $7 Mil~20 Mil? At this stage we hope that we can settle the deal if you finance the balance.
We expect the land itself can be huge profit generator in the nearest future.

I have let the a Chartered Accounting Firm complete draft of business plan
for my golf course and residential development, that will be confirmed by KPMG or PCW if accepted. I will send you final version of the said project regardless of confirmed or unconfirmed.
