Project Financing
Made Easy. New Inovation. Banks Love This.
The increasing sophistication of financial instrument structuring
allows us to offer a unique means of providing credible developers
with unique financing for their projects that would not, in many
cases, tie up these projects in debt or require any claim on their
cash flow. If the banks still did require some claim on your property,
it would certainly be far less.
For a credible developer with strong connections to his bank, we
can offer what we believe is a highly favourable means of alternate
financing.
For a developer requiring USD 100 million for his project, there
would be a number of straight forward steps.
The developer would go to his bank and request a ten-year loan of
five times the amount required but would not offer his property
or development as his collateral. Rather we would provide the developer
with 100% security for his loan by providing the lending bank with
a vehicle known as a "Structured Note" from a major world-class
bank such as Credit Suisse, Deutsche Bank, Citibank, Barclay's,
UBS, Lloyds, Royal Bank of Scotland or similar institutions with
a yield of AA- or better by S&P and/or Moody's.
Such a Structured Note would be comprised of two elements.
The first element in the Structured Note would be a guarantee of
the loan principal. This would be accomplished by a zero-coupon
Medium Term Note ("MTN") of ten (10) year maturity in
the exact amount required to fully secure the loan repayment, in
this case USD 500 million.
The second element in the Structured Note would provide the interest
required to service the loan. This would be accomplished by drawing
the interest from a portfolio of well-diversified bank and corporate
notes, each of which would be rated AA or AAA by the same rating
organizations. This portfolio would be held by the same bank issuing
the Structured Note and that bank would be responsible for collecting
the interest on such notes and passing on the interest collected
to the lending bank.
By spreading
the risk among a well-diversified portfolio of top quality notes,
the lending bank is more secure than if the interest was guaranteed
by any one entity. In fact, the structure will actually allow a
small number of defaults, as unlikely as they may be, and still
maintain the interest flow to the lending bank. Further the portfolio
is defensively managed to further secure the lending bank by a well-regarded
independent investment management firm in London.
So with the use of the Structured Note, the lending bank is fully
secured as to the repayment of its principal and the receipt of
its interest, without any lien on the project.
Upon closing
the lending bank will exchange 80% of the face of the loan to our
bank in exchange for the Structured Note and the remaining 20%,
or USD 100 million, will be used for the project. As the bank is
fully secured, that 20% would not have to be returned and would
represent pure equity in the project.
The closing would take place directly between the lending bank and
the providing bank on each of our behalves. The banks will exchange
information and set the closing to consummate the transaction.

Contact

1. The client presents his project to his bank,
2.and the bank agrees to fund against a proper bank instrument.
3.The client's banks issues a letter that states their willingness
to fund against a legitimate BG (Announcement of Funding).
4. The letter, along with the client's passport, client information
sheet and executive summary of the proposed project is sent to the
trade group.
5. The trade group's bank then contacts the client's bank.
6. All negotiations are then conducted bank to bank.
7. A conditional MT 103 is issued by the client's bank, and the trade
group's bank then issues the BG to the client's bank.
8. The conditions on the conditional MT 103 are satisfied, and the
funds are then released.
9.The proceeds are then placed into trade, and there is a division
of profits, each party receives 50% of the profits (Client and Trade
Group).
10. The client receives the funding for his project(s), plus additional
capital that is due. The trade group pays for the costs of the BG
and any interest that is charged, and receives additional profits.
11.The client's bank redeems the BG at maturity from the trade group's
bank, and the loan is paid off.
12.The client builds his project(s).
The trade group has the resources to produce the BG, because as you
know, BG's are not free. It does cost a lot of money to have one issued,
at least 65% to 70% of face value for a "AA" rated instrument.
There is substantial commitment on the part of the trade group, so
they have a large financial stake in the transaction, and want to
insure success.
This a FED authorized program and the people involved are very fine
people to deal with.
